Job Description and Qualification:


The Deputy Corporate Governance Officer assists the Corporate Governance Head & Data Protection Officer in ensuring that SBC, its subsidiaries and affiliates adopt and adhere to rules and regulations governing banks and companies, as issued by regulatory agencies i.e. BSP, NPC, SEC and PSE, etc; adopts new corporate, strategic policies, and oversees and ensures good governance and data privacy framework implementation within the SBC group.


Basic Corporate Governance

  1. Assists in the review of the Corporate Governance Manual by monitoring of newly issued laws affecting Corporate Governance
  2. Assists in the preparation of comments on drafts of regulations received from regulatory agencies affecting corporate governance
  3. Responsible for timely dissemination of new issuance by the SEC and PSE for Corporate Governance related topics to the concerned units of the Bank, Monitors proper disclosure of the updates with the relevant departments and ensures its timely submission to the SEC and BSP or as needed
  4. Prepares the annual Corporate Governance Certification and ensures its timely submission and disclosure, assists in the preparation of the compliance reports, regulatory updates, and other relevant reports to the Corporate Governance Committee
  5. Responsible for updating the Company website (Others - About Us) on Corporate Governance related sections and monitors the other sections being handled by other division ensuring that it is also being updated accordingly

Corporate Governance Scorecard and Annual Report

  1. Monitors the Corporate Website and ensures that disclosures are according with the regulatory requirements and with the standards of the ASEAN Corporate Governance Scorecard
  2. Monitors Corporate Governance disclosures in the Annual Report
  3. Assists in the preparation of the Annual Corporate Governance Report (IACGR)

Data Privacy

The Compliance Officer will be designated as a Compliance Officer for Privacy (COP) and assist the DPO in handling the data privacy framework of the SBC Group.

  1. Monitors the Bank/Group’s compliance with the Data Privacy Act, its implementing rules and regulations, issuance by the NPC and other applicable laws and policies as well as identifies the processing operations, activities, measures, projects, programs, or systems of the Bank, and maintains a record thereof
  2. Analyzes and checks the compliance of processing activities, including the issuance of security clearances to and compliance by third-party service providers, advises the bank as regards the necessity of executing a Data Sharing Agreement with third parties and ensures its compliance with the law
  3. Ensures the conduct of Privacy Impact Assessments relative to activities, measures, projects, programs, or systems of the Bank, and prioritizes activities or efforts on issues that present higher data protection risks for the Bank
  4. Ascertains renewal of accreditation or certifications necessary to maintain the required standards in personal data processing, ensures proper data breach and security incident management by the Bank, including the latter’s preparation and submission to the NPC of reports and other documentation concerning security incidents or data breaches within the prescribed period, advocates for the development, review and/or revision of policies, guidelines, projects and/or programs of the Bank relating to privacy and data protection, by adopting a privacy by design approach
  5. Informs and cultivates awareness on privacy and data protection within the Bank, including all relevant laws, rules and regulations and issuance of the NPC and serves as the contact person of the Bank vis-à-vis the data subjects, the NPC and other authorities in all matters concerning data privacy or security issues or concerns

Internal Audit and Regulatory Examination

  1. Attends to the needs of Internal Audit and any regulatory body (i.e. SEC, PSE, BSP, NPC, etc.) in the conduct of their audit or examination and coordinates any requirement with the concerned units/ contact persons of the bank
  2. Prepares reply/updates on the internal audit report or any regulatory examination reports pertaining to corporate governance and data privacy, and transmits the same to the concerned officers of the bank for appropriate action, as well as monitors the timely resolution of all exceptions/ commitments
  3. Prepares e-mail/ memo/ referral of findings, if any, to concerned units for dissemination or approval
  4. Attends discussions pertaining to the result of the audit reviews of Corporate Governance and Data Privacy related issues and provides timely resolution on the noted audit exceptions

Training and Independent Compliance Testing

  1. Conducts training on Corporate Governance and Data Privacy
  2. Assists in creating or reviewing e-Learning or other training modules
  3. Prepares/updates compliance testing guides and templates
  4. Performs independent compliance testing
  5. Identifies issue and exceptions, recommends policy and procedures formulation/enhancement and monitors approval and implementation/resolution issues


  • Bachelor’s Degree holder
  • With at least 8 years of related work experience
  • Experience in coordinating with Bangko Sentral ng Pilipinas (BSP), Securities and Exchange Commission (SEC), Philippine Stock Exchange (PSE), National Privacy Commission (NPC), and other regulatory agencies
